Some jurisdictions do not allow the exclusion or limitation of certain types of damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.


8. Indemnification

You agree to defend, indemnify, and hold harmless Via 313 and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that arise from or relate to:

If a Dispute cannot be resolved informally within the thirty (30) day period, you and Via 313 agree that any Dispute (except as set forth below) shall be resolved through final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are incorporated herein by reference. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties.

You and Via 313 agree that any arbitration shall be conducted on an individual basis only and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class proceeding.

10.3 Exceptions to Arbitration

Notwithstanding the above, either party may bring an individual action in small claims court for Disputes within the jurisdictional limits of such court. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidentiality obligations.

10.4 Waiver of Jury Trial

BY AGREEING TO THESE TERMS, YOU AND VIA 313 EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

10.5 Time Limitation

Any claim or cause of action arising out of or related to these Terms or your use of the Site and services must be filed within one (1) year after such claim or cause of action arose, or it shall be forever barred, notwithstanding any statute of limitations to the contrary.
